ROARING CREEK VALLEY CONSERVATION ASSOCIATION
“POPOMENTANG”
ARTICLE I – Purpose
Section 1
The Roaring Creek Valley Conservation Association seeks to conserve the natural resources of the basin and its rich culture through watershed stewardship, education, and monitoring.
ARTICLE II – Objectives
Section 1
Promote best management and conservation practices for multiple land use activities throughout the watershed.
Section 2
Actively support land-use plans, initiatives and programs that address stormwater issues and flooding. Support activities that address residential and commercial development, and consider the protection of existing structures and homes in flood zones.
Section 3
- Promote and conserve native plants, animals and aquatic life within the watershed.
Section 4
Monitor streams and groundwater and support activities for the remediation of polluted waterways and wells.
Section 5
Become familiar with environmental rules and regulations. Review current and proposed legislation that serves to conserve and protect the natural resources within the watershed.
Section 6
Apply for state, federal and other grants /funds to study, improve or remediate problems within the watershed.
Section 7
Develop and assist in programs that are aimed at the maintenance and improvement of the natural and cultural resources of the watershed.
Section 8
Conduct and coordinate informational and educational efforts. Support scientific research related to natural resources conservation within the boundaries of the Roaring Creek Watershed. Develop watershed management programs based on the results of the study.
Section 9
Apply to become a 501(c) 3 non-profit organization.
ARTICLE III – Membership
Section 1
The membership of the Association shall be open to all individuals and organizations having an interest in the Roaring Creek Watershed.
Section 2
Voting membership is restricted to individuals who are dues paying and lifetime members.
Section 3
Every eligible candidate for election to membership shall become a member upon payment of the required dues.
Section 4
Yearly dues will be collected every January, pro-rated FOR NEW MEMBERS to month membership is received.
Section 5
The annual dues are:
Individual (18 years or older) $20.00
Family (2 adults) $30.00
Youth (under 18 years old) Free
Lifetime $150.00
Business/Corporate $250.00 +
ARTICLE IV - Meetings
Section 1
Monthly meetings will be held the 3rd Thursday of each month, including the annual meeting in December, at a location designated by the officers. The monthly meetings may alternate between business meetings and presentations on a topic of relevance to the objectives of the Association.
Section 2
Special meetings of the membership can be called by the officers.
Section 3
Nominations for officers will be accepted at the November meeting.
Section 4
An annual meeting will be held in December and will include election of officers and a review of the purposes and objectives of the Association.
ARTICLE V – Quorum and Voting
Section 1
A quorum at any meeting shall consist of at least 2 officers and a majority of those members present. The affirmative vote of a majority of those present in voting shall constitute the action of the membership. The officer presiding at the meeting shall not cast a vote except to break a tie.
ARTICLE VI – Officers
Section 1
Officers shall consist of one each for the following offices: President, Vice-President, Secretary and Treasurer
Section 2
Officers shall be elected to a term of office of two years. The first president shall be elected for an initial term of one year followed by two year terms thereafter.
Section 3
Officers may succeed themselves.
Section 4
When vacancies occur, nominations will be accepted from the members present at a regularly scheduled meeting. The nominees may not fill the office until they receive the majority vote at the following regularly scheduled meeting. In the case that the office is vacated, the newly elected officer will fill out the remainder of that term.
Section 5
Excessive absences of officers, as determined by a quorum (see Article V, Section 1 for definition) of the officers at their monthly meeting, will be addressed.
Section 6
Officers shall meet monthly or a special meeting may be called.
Section 7
Officers shall be responsible for the holding, maintaining and distributing of property, as well as coordinating and delegating the activities of the Association.
ARTICLE VII – Officer Responsibilities
All officers are voting members who must be in good standing with the Association.
Section 1
The president, and in absence, the vice-president, shall preside at all regular meetings. The president can co-sign Association bank account documents.
Section 2
The vice president shall head committee chairs, preside over meetings in the absence of the president, and be available to co-sign Association bank account documents.
Section 3
The secretary shall keep a record of proceedings at meeting of members and at meetings of the officers, and shall issue all notices of meetings as provided herein. The secretary must be available to co-sign Association bank account documents. The secretary presides over meetings in the absence of the president and vice president.
Section 4
The treasurer shall receive and have custody of all the monies and securities of the Association and shall keep regular books of account, and shall keep a register of the members of the Association. S/he shall deposit all monies in a bank to the credit of and in the name of the Association. All expenditures shall be made by the treasurer as authorized by a quorum (see Article V, Section 1 for definition) of the officers. Two (2) signatories are required on all checks. The treasurer, at the discretion of a quorum, may be bonded at the expense of the Association. An annual audit will be conducted by at least two officers, excluding the treasurer, and a report provided to the membership thereafter. Annual audits shall not occur later than 3 months past the end of the fiscal year. The treasurer, in absence of the president, vice president, and secretary, will preside over meetings.
Section 4
Officers shall perform their respective duties without compensation. However, necessary expenditures incurred for the Association may be reimbursed at the discretion of the quorum (see Article V, Section 1 for definition) at a regularly scheduled meeting.
Section 5
As the need warrants, other officers may be designated by a quorum (see Article V, Section 1 for definition) at a regularly scheduled meeting.
ARTICLE VIII – Committees
Section 1
The Association shall have three standing committees:
● Administrative /Business Committee
● Education Committee
● Monitoring Committee

Section 2
Membership in any committee is voluntary. Any Association member in good standing may volunteer for any committee and be a member of more than one committee.
Section 3
Each committee shall elect a chair.
ARTICLE IX - Amendments
Section 1
These By-Laws may be amended, repealed, or altered, in whole or in part, by the quorum (see definition Article V, Sec. 1) at the annual meeting or at the July meeting. Proposed amendments shall be received prior to the next annual meeting or prior to the July meeting or any special meeting called for this purpose.
ARTICLE X – Rules of Order
Section 1
The rules of parliamentary procedure as laid down in Robert’s Rules of Order shall govern all meetings of the association.
ARTICLE XI – Dissolution Clause
Section 1
In the event of dissolution, either voluntary of involuntary, assets shall be used to pay debts and liabilities of the Corporation. Any remaining assets shall be distributed to the Columbia County Conservation District.
LOG OF AMENDMENTS
December 18, 2008:
Article VI, Section 4 – Added 3rd sentence, “In the case that the office is vacated, the newly elected officer will fill out the remainder of that term”.
Article IX, Section 1 – Added the words, “….or at the July meeting.” to the 1st sentence. Added the words, “….or prior to the July meeting…..” to the 2nd sentence.
Article XI, Section 1(new) – added the dissolution clause to comply with federal guidelines.
December 17, 2009:
Article IV, Section 1 – removed the words, “….within the Roaring Creek Watershed….” to allow flexibility to conduct meetings outside of the Roaring Creek Watershed.
